Job Summary and Responsibilities

The System Manager, Debt and Investor Relations is responsible for leading a best-in-class investor relations function for
CommonSpirit Health, in collaboration with the SVP, Treasury, Capital Planning & Strategic Investments and the System
Director, Debt.

Also, Debt and Investor Relations is responsible for collaborating with leaders across
the organization in order to synthesize complex system information and develop a clear, effective narrative to advance
CommonSpirit Health’s reputation, build investor confidence and belief in the organization’s vision, strategy, and ensure
consistent brand identity.

This position is also responsible for developing all presentation content and is expected to
have superior visual presentation and verbal and written communication skills and the ability to interpret financial and
operational data.


This role includes management of quarterly Investor Webcasts and other
investor, credit rating agency and bank/lender meetings and internal Board and Finance Committee materials. This
position works closely with the SVP Treasury, Capital Planning & Strategic Investments, the System Director, Debt and
CommonSpirit Communications liaison to provide thought leadership and develop and enhance CommonSpirit Health’s
investor relations strategy, in the context of organizational developments, competitor/peer practices, disclosure
regulations and investor relations best practices.


The System Manager, Debt and Investor Relations’ debt management responsibilities will include:

  • negotiation and documentation of various debt instruments, provide a high degree of support during new debt issuances, operational
    management of the debt and derivative portfolio, management reporting and analysis, and other functions as needed
    to support the System Director, Debt and the System Vice President, Assistant Treasurer.
  • direct reports: A Senior Analyst or Analyst, Debt will report to this position.

PRINCIPAL RESPONSIBILITIES

  • Create superior, highly professional visual presentations consistent with CommonSpirit Health’s branding and
    style. Effectively synthesize and frame complex materials and data on a range of subject areas into clear and
    consistent visual presentations and messaging.
  • Collaborate with executive and senior leadership across a broad range of areas (Finance, Strategy, Clinical, Payer
    Strategies, HR, Advocacy, etc.) and external parties (consultants, bankers, legal counsel, etc.). This includes
    development of subject matter fluency and ability to work with leaders in a consultative manner to hone
    content and messaging.
  • Proactively manage communications vis-à-vis developing trends and events, consistent with all internal and
    external Communications messaging.
  • Coordinate all aspects of Investor Relations, rating agency and bank meetings and calls including developing all
    investor relations materials, coordinating and assisting in development of speaker notes and supporting
    information for presenting executives.
  • Serve as main contact for external investors and rating agency analysts in fielding, tracking and triaging
    questions and requests for information, collaborating with content area experts to deliver appropriate
    responses to inquiries, consistent with legal disclosure guidelines with respect to external investors (e.g., SEC
    Rule 15c2-12).
  • Develop a strategic communications plan and schedule and manage logistics and communications of clear
    deliverables for each process/meeting/presentation, including the defining project schedules/timelines and
    management of all deadlines and details from kickoff, material development, speaker and stakeholder
    interviews and consultation, quality assurance checks and completion. Assist with the preparation and coaching
    of speakers as needed.
  • Manage and maintain the company’s Investor Relations contact database, including a comprehensive list of
    questions asked by investors, feedback from investors received through third parties (investment banks, etc.),
    and other relevant data points.
  • Conduct and direct research and maintain industry knowledge to inform investor relations strategy and best
    practice, including maintaining working knowledge of credit rating trends, research and criteria to assist in
    understanding rating agency areas of focus, following peer institutions’ (for-profit and not-for-profit) investor
    relation materials, disclosure practices and trends and analyzing peer financial and other relevant data to
    maintain a working knowledge of competitor/peer content practices.

Debt Management

  • Primary responsibility for oversight of the public bond portfolio, and primary contact for rating agencies and
    bond investors.
  • Actively participate in issuance of tax-exempt and taxable municipal bond debt, including in depth review of
    documents, structuring, related investor relations and post close activities.
  • Assist in the ongoing financial and operational aspects of the centralized debt management program, including
    management reporting, risk assessments, etc.
  • Oversee and develop Treasury Senior analyst or analyst.
  • Negotiate and document various debt instruments, including lines of credit, term loans, private placements,
    commercial paper, variable rate demand obligations, etc.
  • Develop strong d relationships with banking contacts, trustee, rating agencies, internal and external legal counsel, internal corporate accounting and market finance personnel.
  • Monitor the derivative program, including working with derivative consultant, track valuation and cash flows of
    the program, collateral posting and prepare presentations to senior management and governance as needed.

Job Requirements

  • MBA desired, but not essential.
  • Minimum 3-7 years of work
    experience in commercial or investment banking, investor relations or
    other relevant work experience
